Terms of Service

These Terms govern access to and use of Oriax (oriax.ai and app.oriax.ai, the “Service”). By creating an account or using the Service you (“Customer”, “you”) agree to these Terms. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.

Oriax is a business-management platform that connects to third-party services you authorize (including QuickBooks Online, bank accounts via Plaid, Stripe, Google Workspace and advertising platforms) and uses artificial intelligence to organize, summarize and explain your business data in a private panel for your company.

You must provide accurate information, keep your credentials confidential and notify us promptly of any unauthorized use. You are responsible for all activity under your account.

When you connect a third-party service, you authorize Oriax to access and use data from that service on your behalf within the scopes you approve. Your use of each third-party service remains subject to that provider’s own terms. For QuickBooks Online, you acknowledge that Oriax is an independent application and is not endorsed by or affiliated with Intuit Inc. You may disconnect any service at any time from the Connections screen.

You retain all rights to your data. You grant us a limited license to host, process and display it solely to provide the Service to you. We do not sell your data, do not use data obtained from connected services to train artificial intelligence models, and do not share it with other customers. Our handling of data is described in the Privacy Policy, which forms part of these Terms.

Summaries, insights and answers produced by the Oriax AI assistant are generated automatically and may contain errors or omissions. They are provided for informational purposes only and do not constitute accounting, tax, legal or financial advice. You are responsible for verifying any information before relying on it and for maintaining your official books and records in your accounting system.

You agree not to:

• Use the Service for unlawful purposes.
• Attempt to access other customers' data or our systems without authorization.
• Reverse engineer, copy or resell the Service.
• Introduce malicious code.
• Use the Service to violate the terms of any connected third-party service.

Paid plans are billed as described in your order or subscription page. Fees are non-refundable except as required by law. We may change pricing with at least 30 days’ notice.

The Service, including its software, models, design and content (excluding your data), is owned by American Digital Business LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription in accordance with these Terms.

These Terms apply while you use the Service. You may cancel at any time from your account or by emailing admin@oriax.ai. We may suspend or terminate access for material breach, non-payment or legal risk. Upon termination we revoke third-party access tokens and delete your data in accordance with the Privacy Policy.

The Service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that data from third-party services will be complete or accurate.

To the fullest extent permitted by law, American Digital Business LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Service. Our total liability for any claim will not exceed the amounts you paid us in the twelve months preceding the claim.

You agree to indemnify and hold harmless American Digital Business LLC from claims arising from your data, your use of the Service in violation of these Terms, or your violation of any third-party rights or applicable law.

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction.

We may update these Terms. We will post the new version at oriax.ai/terms and update the effective date; continued use after changes take effect constitutes acceptance.
